Terms of Service

These Terms of Service ("Terms") govern your access to and use of the GRC Ready website and compliance assessment platform (the "Service"), operated by GRC Ready Limited ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility and Accounts

• You must be at least 18 years old and authorised to act on behalf of the organisation you register.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• You must provide accurate, current, and complete information during registration and keep it up to date.
• You must notify us immediately of any unauthorised use of your account.

2. The Service

GRC Ready provides an online governance, risk, and compliance (GRC) self-assessment tool that generates indicative compliance ratings, reports, and recommended actions based on the answers you provide. The Service is provided to assist your internal compliance efforts.

3. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with our Acceptable Use Policy. You must not misuse, disrupt, reverse-engineer, scrape, or attempt unauthorised access to the Service.

4. Subscriptions, Fees, and Payment

• Certain features require a paid subscription or one-off fee, as described on our pricing page.
• Fees are stated in [CURRENCY, e.g. GBP] and are exclusive of VAT unless stated otherwise.
• Subscriptions renew automatically unless cancelled before the renewal date. You may cancel at any time, effective at the end of the current billing period.
• Except where required by law, fees are non-refundable.

5. Your Data and Content

You retain ownership of the data and content you submit to the Service ("Your Content"). You grant us a limited licence to host, process, and display Your Content solely to provide the Service. 6. Intellectual Property

The Service, including its software, design, content, questionnaires, scoring methodology, and branding, is owned by us or our licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

7. Service Availability

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may suspend or modify the Service for maintenance, updates, or operational reasons.

8. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind.
• We are not liable for any indirect, incidental, consequential, or special damages, or for loss of profits, data, or business arising from your use of the Service.
• Our total aggregate liability arising out of or relating to these Terms shall not exceed the amount you paid us in the [12 months] preceding the claim.
• Nothing in these Terms excludes liability that cannot be excluded by law (such as for death or personal injury caused by negligence, or fraud).

9. Indemnity

You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your misuse of the Service or breach of these Terms.

We may suspend or terminate your access if you breach these Terms. You may close your account at any time. On termination, your right to use the Service ends, and we will handle your data as described in our Privacy Policy.

We may update these Terms from time to time. We will notify you of material changes via the Service or by email. Continued use after changes take effect constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction, except where you are a consumer entitled to bring proceedings in your local jurisdiction.
